Definitions

• “Company” refers to Solarestique LLC.

• “Client” means any individual or entity engaging our services.

• “Services” include solar permit design, consulting, financial proposals, presale design, as-built drawings, PTO support, engineering (PE stamping), and installer coordination.

Scope of Services

We offer solar-related design and consulting tailored for residential, commercial, and utility-scale projects within the U.S., as specified in individual proposals or Statements of Work.

Acceptance of Terms

Your acceptance occurs when you:

• Sign our proposal/SoW;

• Submit a purchase order; or

• Utilize any Services provided.

Client Obligations

Clients must:

• Provide accurate, lawful project information;

• Comply with all applicable federal, state, and local regulations;

• Secure any required permissions (e.g. site access, HOA consent);

• Protect proprietary data shared with us.

Fees & Payment

• Fees are set forth in the proposal/contract.

• Invoices are payable within 30 days of issuance.

• Work beyond the agreed scope requires separate approval and billing.

• Late payments may incur interest (e.g., 1.5% monthly) in accordance with Texas law pandadoc.com+4kinectsolar.com+4tradifyhq.com+4texassolargroup.compandadoc.com.

Deliverables & Revisions

• We deliver compliant and stamped documents as outlined in your SoW.

• Revisions due to inaccurate Client data or changing requirements may incur additional charges.

Intellectual Property

• All deliverables remain the property of Solarestique LLC unless otherwise agreed.

• Clients are granted a non-exclusive, non-transferable license to use deliverables solely for their intended project.

Data Security & Privacy Compliance

We adhere to relevant data laws, including:

• Texas Data Privacy & Security Act (effective July 1, 2024);

• CCPA where applicable;

• FTC data protection guidelines;

• Texas Business & Commerce Code §521.052, ensuring secure handling and transmission of sensitive data dwt.com+2texasattorneygeneral.gov+2termageddon.com+2.

Confidentiality

Both parties agree to:

• Maintain confidentiality of shared proprietary information;

• Use such information exclusively for the project’s purpose.

Warranties & Disclaimers

• We warrant that Services will meet professional standards and comply with applicable codes (e.g. NEC) .

• No guarantee on permit approval, PTO timing, or energy project outcomes; these depend on external authorities.

Limitation of Liability

To the full extent permitted by Texas law:

• Our liability is capped at the amount of fees paid for the relevant service;

Indemnification

Client agrees to indemnify Solarestique LLC against claims arising from inaccurate data provided, unauthorized design alterations, or Client non-compliance.

Term & Termination

• By Client: Termination effective upon 30 days’ written notice; Client remains responsible for all accrued fees.

• By Company: Immediate termination allowed for non-payment, breach of Terms, or illegal activity.

Force Majeure

Neither party is liable for delays due to acts beyond their reasonable control (e.g. natural disasters, regulatory delays).

Governing Law & Dispute Resolution

• These Terms are governed by Texas law.

• Disputes will be resolved first by good-faith negotiation and, if unresolved, through binding arbitration in Texas under AAA rules .

Amendments

We may revise these Terms at any time; material changes will be communicated to Clients via email or updated posting. Continued use implies acceptance.

Severability & Waiver

• Invalid provisions do not affect the remainder.

• Failure to enforce a provision does not constitute waiver of future enforcement rights.

Entire Agreement

These Terms, together with proposals/SoWs, represent the complete agreement, superseding all earlier communications.
